An attorney is equitably estopped from asserting statute of limitations defense in legal malpractice lawsuit, when: 1) the attorney advised his corporate client that the failure to comply with required corporate formalities would have no negative impact; 2) the corporate client followed the attorney's advice and did not comply with required formalities; and, 3) the statute of limitations expired because the corporation failed to comply with the formalities.
