A nonfiduciary defendant, neither an agent nor an employee of the fiduciary, cannot be liable for conspiring with the fiduciary to breach a fiduciary duty, because a nonfiduciary is incapable of committing the tort (breach of fiduciary duty) underlying the conspiracy.
